3. Is Latin America appropriate for every company?
No market or region is appropriate for every company.
The relevance of Latin America depends on the manufacturer’s products, target customers, sector conditions, commercial model, regulatory requirements and ability to support regional activity.
Where contracted, ConectNext can conduct market intelligence focused on selected products, industries and countries. The client uses the findings to decide whether to proceed, change priorities or postpone further activity.

Through an agreed mandate, ConectNext can provide market intelligence, commercial representation, project coordination, business establishment, warehousing and local distribution coordination, and ongoing operations management. The B2B directory provides corporate and product visibility but does not include commercial representation, market research, establishment, warehousing or operational management.

Projects involving other Latin American markets are coordinated according to the requirements of each engagement. Regional scope does not mean that ConectNext maintains its own offices, permanent personnel, lawyers, accountants, warehouses or operational infrastructure in every country.

8. Can services be contracted separately?
Yes. A company may contract a specific assignment or combine several services within a broader expansion project.
Only the countries, activities and deliverables expressly included in the proposal form part of the engagement. Additional services, products, markets or operational responsibilities are assessed and agreed separately.
9. What market intelligence does ConectNext provide?
Market intelligence is prepared according to the company’s products, sector, target countries and business questions.
Depending on the agreed scope, research may examine competitors, distribution channels, trade activity, market conditions and other information relevant to the expansion decision.
The resulting report identifies the information reviewed, the sources used and relevant limitations. It supports decision-making but does not guarantee demand, customers, distributors or commercial results.
10. How does ConectNext prepare research and sector content?
ConectNext prepares published sector content using information from institutional, government and industry sources selected according to the subject.
Published website content is informational and separate from research commissioned for a specific client. A tailored market assessment is delivered only when included in an agreed service scope.

11. How are project responsibilities defined?
Each proposal identifies the responsibilities of ConectNext, the client and any specialized providers participating in the project.
The client retains ownership of its local entity and authority over investments, financing, strategic direction and material contractual commitments.
ConectNext manages the activities assigned under the agreed scope. Where warehousing, distribution or ongoing operations management is contracted, the written mandate also defines inventory responsibilities, applicable budgets, operational authority, approval limits and reporting requirements.

Commercial Representation
12. How does ConectNext provide commercial representation?
ConectNext manages agreed commercial activities for international manufacturers developing their presence in Colombia or other Latin American markets included in the mandate.
Activities may include presenting the company and its product portfolio, communicating with potential distributors or business customers, following up on active discussions and supporting negotiations according to the client’s instructions.
The proposal defines the target markets, products, activities, reporting arrangements and limits of authority.
13. Can ConectNext identify potential distributors or business customers?
Where included in the mandate, ConectNext can identify and approach organizations that appear relevant to the company’s products and target market.
Identification does not mean that an organization has been fully qualified, has agreed to engage or will become a distributor or customer. Any potential counterpart must be evaluated according to the client’s requirements before a commercial commitment is made.
14. Does ConectNext guarantee commercial contacts, distributors or sales?
No. ConectNext does not guarantee responses, meetings, distributors, customers, contracts or sales.
Commercial representation provides organized outreach, communication, follow-up and reporting within an agreed scope. Market response and final business results depend on factors outside the control of ConectNext.
15. Who controls prices, negotiations and contractual decisions?
The client retains authority over prices, discounts, warranties, exclusivity, payment terms and material contractual commitments.
ConectNext may support commercial discussions according to the client’s instructions but does not make binding commitments unless specific authority has been expressly granted in writing.

ConectNext coordinates participation in selected trade fairs, exhibitions and business missions according to the company’s industry, objectives, target audience and budget.
Depending on the agreed scope, coordination may include event assessment, registration, stand requirements, materials, local providers, on-site representation, documentation of relevant conversations and post-event follow-up.
17. Does my company need to send its own team?
Not necessarily.
Where full on-site representation is contracted, ConectNext can present the company and its approved product information without the manufacturer sending its own personnel.
The client remains responsible for technical responses, commercial approvals and final business decisions. The proposal identifies the staffing arrangements and activities included.
18. Does trade fair participation guarantee qualified leads?
No. Event participation does not guarantee visitor interest, qualified inquiries, contracts or sales.
ConectNext documents relevant conversations and information voluntarily provided during the event. These records do not mean that every contact has completed a commercial or corporate qualification process.
19. What happens after the event?
Where included in the engagement, ConectNext manages agreed post-event communication based on documented conversations and inquiries.
Follow-up may include sending approved information, coordinating responses to questions, arranging further communication and reporting the status of agreed next steps.
The duration and extent of post-event follow-up are defined in the proposal.

21. Can ConectNext coordinate contract preparation or review?
Yes, when included in the project scope.
ConectNext can coordinate the involvement of qualified local counsel for the preparation or review of distribution, representation, employment, sales or other commercial agreements.
The appointed legal professional remains responsible for the advice and documentation delivered. The client reviews and approves all agreements before signature.
22. Can ConectNext coordinate product registrations or regulatory procedures?
Yes. ConectNext can coordinate specialized support for sanitary registrations, product authorizations, permits or other applicable regulatory procedures.
The required process depends on the product, intended activity and target country. In Colombia, certain procedures may involve INVIMA or another competent authority.
The regulatory specialist determines the applicable requirements and manages the professional work included in their appointment.
23. Does ConectNext guarantee regulatory approval?
No. Regulatory decisions and processing periods remain under the control of the relevant authorities.
ConectNext coordinates the agreed activities and follows up on documentation, submissions, observations and pending decisions. It cannot guarantee approval, acceptance of documentation or a specific processing period.

Legal, accounting, tax and other regulated professional services are delivered by specialized local providers in the relevant jurisdiction.
Each country receives its own scope because corporate, tax, banking, employment and administrative requirements vary across Latin America.
25. What establishment activities can be coordinated?
Depending on the agreed scope, coordination may include:

No.

27. Does ConectNext provide offices or warehouses?
ConectNext does not claim to own or operate offices and warehouses throughout Latin America.
Where included in the project, we can coordinate the identification and initial assessment of potential properties or facility providers according to the client’s approved requirements.
The client selects the location and approves all lease, purchase, infrastructure and investment commitments.
28. Can ConectNext coordinate the recruitment and employment of personnel?
Yes, when included in the approved project.
ConectNext may coordinate specialized recruitment, employment, payroll and human resources providers according to the requirements of the local operation.
Employment advice, employment agreements, payroll processing and other regulated or specialized services remain the responsibility of the appointed local providers.

Warehousing, Inventory and Local Distribution
29. Can ConectNext coordinate warehousing and distribution in Colombia?
Yes. ConectNext can coordinate project-specific warehousing, inventory management and local distribution arrangements for approved international companies requiring products, machinery, equipment or spare parts to be available in Colombia.
The service may be contracted independently or combined with business establishment, commercial representation or ongoing local operations management. Each request is assessed according to the merchandise, storage conditions, expected inventory, operating location and required providers.
30. Does ConectNext own or operate warehouses?
ConectNext does not claim to own warehouse facilities throughout Colombia.
For each approved project, ConectNext identifies and coordinates suitable facilities or specialized logistics providers according to the client’s products and operational requirements.
The client reviews and approves the proposed location, provider, services, contractual conditions and costs before implementation.
31. What warehousing and distribution activities can be coordinated?
Depending on the agreed scope, coordination may include:
- Warehouse identification and provider coordination
- Merchandise reception arrangements
- Inventory registration and periodic reporting
- Storage and handling requirements
- Order preparation
- Customer or distributor collection
- Local dispatch through approved transport providers

32. Does ConectNext import merchandise or provide customs services?
ConectNext does not automatically act as the importer of record, customs agency or international freight carrier.
Import declarations, customs representation, tariff classification, duties, taxes and other specialized procedures remain the responsibility of the client and the qualified providers appointed for those activities.
Where required, ConectNext can coordinate communication between the client, its customs and logistics providers, the transport company and the selected warehouse.
33. Who owns, invoices and authorizes the release of stored merchandise?
The client or another formally appointed entity retains ownership of the merchandise and responsibility for customer invoicing unless the applicable contracts expressly establish another arrangement.
Before warehouse operations begin, the project defines:
- The entity owning the inventory
- The party responsible for importation
- The entity authorized to invoice customers
- The persons authorized to request merchandise release
- The warehouse provider’s physical custody responsibilities
- ConectNext’s coordination and management authority
Customer collection from a warehouse does not automatically make the facility a retail location or sales establishment.
34. Who is responsible for insurance, loss or damage?
Insurance requirements and responsibility for merchandise during transportation, reception, storage, handling and delivery are defined according to the providers and contracts involved.
The applicable arrangements may address transport insurance, inventory coverage, warehouse responsibility, incident notification, claims documentation and damaged or disputed merchandise.
ConectNext coordinates the agreed process but does not guarantee that loss, damage, theft, delay or inventory differences will never occur.
Warehousing and Distribution Operations in Colombia
Ongoing Local Operations Management
35. Can ConectNext manage local operations after establishment?
Yes. An international company without its own regional management team can contract ConectNext to manage agreed elements of its local operation after establishment.
Ongoing local operations management is delivered under a separate written mandate. The agreement defines the activities included, responsibilities, operational authority, budgets, approval limits, reporting arrangements and commercial terms.
Business establishment does not automatically include ongoing management. A company may contract either stage separately or combine them as consecutive parts of a broader expansion project.
36. What local operational activities can ConectNext manage?
The activities depend on the company’s operating model and the authority granted under the mandate.
Depending on the agreed scope, management may include:
- Coordination of offices, warehouses and operational facilities
- Coordination of warehouse providers, inventory reporting and approved merchandise releases
- Follow-up on personnel and administrative processes
- Coordination of recruitment, employment and payroll providers
- Coordination with accounting, tax, legal and regulatory specialists
- Management of approved local administrative and operational suppliers
- Follow-up on recurring documentation and operational requirements
- Coordination of approved invoices and payments
- Communication between the local operation and the client’s headquarters
- Continuity between operational and commercial activities
- Periodic management and progress reporting
Activities not expressly included in the written mandate remain outside the engagement.
37. Does ConectNext become the owner or legal administrator of the client’s company?
No. The client retains ownership of its local entity and control over its strategic direction.
Any legal representative, director, officer or statutory appointment required by local law must be evaluated separately. The applicable authority, responsibilities and professional requirements are defined through the appropriate corporate documentation and local legal advice.
An operations management mandate does not by itself transfer ownership, corporate control or unrestricted decision-making authority to ConectNext.
38. Who employs and manages the local personnel?
The employing entity and employment arrangements depend on the structure selected for the project and the requirements of the relevant jurisdiction.
Where the client’s local entity employs personnel, ConectNext may coordinate recruitment, onboarding, payroll providers, administrative processes and day-to-day operational follow-up within the agreed mandate.
Employment contracts, payroll compliance, labor advice and other specialized services are handled by the appointed local professionals or providers.
39. What decisions can ConectNext make under an ongoing management mandate?
ConectNext can make or implement only the operational decisions authorized in writing by the client.
The mandate may establish:
- Activities ConectNext can manage directly
- Approved operating budgets
- Payment and expenditure limits
- Supplier coordination authority
- Personnel-related procedures
- Inventory and merchandise release procedures
- Reporting frequency
- Matters requiring prior client approval
- Decisions reserved entirely for the client
The client retains authority over ownership, financing, investments, strategic direction and material contractual commitments unless a specific written corporate authorization establishes otherwise.
40. How is ongoing local operations management charged?
The commercial terms are defined according to the operation, responsibilities and resources required.
An ongoing management agreement may include a monthly management fee and an agreed percentage calculated according to the basis expressly stated in the contract. Third-party professional fees, payroll, property costs, warehousing costs, supplier expenses, taxes and other operating expenses are identified separately where applicable.
No percentage, expense or activity is assumed to apply unless it is included in the agreed commercial terms.
41. Does ConectNext perform legal, accounting, tax or payroll work internally?
Regulated and jurisdiction-specific professional services are delivered by qualified local providers.
ConectNext coordinates their participation, follows up on requirements and integrates their work into the broader operational process. The appointed professionals remain responsible for the legal, accounting, tax, regulatory, payroll or other specialized services they perform.
42. Can the client later assume direct management of the operation?
Yes.
The client may establish its own regional management team, modify the activities delegated to ConectNext or conclude the ongoing management service according to the applicable contractual terms.
The mandate defines the notice requirements, transition responsibilities, outstanding matters and information to be transferred when the management arrangement changes or ends.

Business Communication and Regional Coordination
43. Does ConectNext adapt communication for local markets?
Where commercial representation, event participation or ongoing operational management is contracted, ConectNext communicates according to the approved corporate positioning, product information and project instructions.
Language and presentation may be adapted to the target market, but technical claims, prices and material contractual conditions remain subject to the authority limits established by the client.

45. Does ConectNext maintain local teams in every country?

Activities in other Latin American countries are coordinated through project-specific delivery arrangements. Specialized providers are involved where required and are not presented as permanent ConectNext employees or offices.

The company remains responsible for the accuracy of its listing information, its commercial communication and any agreement resulting from contact with another party.
Results, Confidentiality and Project Control
49. Does ConectNext guarantee expansion results?
No. ConectNext commits to performing the activities included in the agreed scope and providing the corresponding management, coordination and reporting.
Market demand, third-party responses, contracts, sales, approvals and external processing periods cannot be guaranteed.
50. How does ConectNext report project progress?
Reporting arrangements depend on the nature and duration of the engagement.
Updates may identify completed activities, work in progress, responses received, outstanding information, client decisions required and changes affecting scope, cost or timing.
For warehousing or ongoing local operations management, reports may also include inventory activity, supplier coordination, budget follow-up, pending approvals and recurring requirements.
51. How does ConectNext handle confidential information?
Information received during an engagement is handled according to the applicable contractual and confidentiality arrangements.
ConectNext does not use a client’s identity, project or confidential commercial information as promotional material without authorization.
